Terms and Conditions

1. Who we are

The Ela platform is operated by NEXAI AGENCY S.R.L., with its registered office in București, Sector 6, Str. Drumul Taberei nr. 73B, Bl. TS40, Sc. A, Et. 2, Ap. 14, Romania, CUI 52784369, Trade Register no. J2025082521001 ("NexAi", "we"). Contact: contact@nexaiagency.ro.

2. Definitions

• "Platform" – the Ela web app, through which clinics apply for access and later access their accounts.
• "Ela" or "Service" – the artificial intelligence medical assistant developed by NexAi (voice calls, WhatsApp assistant and personalized dashboards), provided to clinics under contract.
• "User" – the person who creates an account on the Platform on behalf of a clinic.
• "Clinic" – the entity (legal person or professional) on whose behalf the User acts.
• "Access application" – the form filled in on the Platform to request access to Ela.

3. Accepting the terms

By creating an account or submitting an Access application, the User confirms that they have read and accept these Terms and that they are entitled to act on behalf of the Clinic. If you do not agree, please do not use the Platform.

4. A platform for professionals

The Platform and the Service are intended exclusively for clinics, medical practices and other healthcare professionals, not for consumers. The User must be at least 18 years old.

5. The access application and entering into a contract

5.1. Submitting an Access application is not a contract and does not guarantee access to Ela.

5.2. After reviewing the application, the NexAi team may contact the Clinic for a free discovery call and, where appropriate, send it an offer.

5.3. NexAi reserves the right to accept or refuse an application, without having to give a reason for refusal.

5.4. The Ela Service is provided only after signing a separate contract, the related offer and the data processing agreement (DPA). In case of any inconsistency, the signed contract prevails over these Terms.

6. The account

6.1. The User must provide correct and complete information and update it when it changes.

6.2. The User is responsible for keeping the password confidential and for all actions taken from their account. Any unauthorized use must be reported immediately to contact@nexaiagency.ro.

6.3. The User can delete the account and data at any time from the Platform's status page.

7. Permitted use

The User agrees not to:

• enter into the Platform patient data, health data or other personal data of third parties, beyond what the form asks for;
• use the Platform for illegal or fraudulent purposes or in ways that infringe the rights of others;
• try to gain unauthorized access to the Platform, other users' accounts or NexAi's systems;
• copy, decompile or automatically extract content from the Platform;
• introduce viruses or any harmful code.

NexAi may suspend or close the account if these rules are breached.

8. Voice cloning

If the Clinic chooses the "Your own voice" option, cloning is done only with the prior, explicit, written consent of the person whose voice is used. The Clinic is responsible for obtaining this consent. NexAi may refuse or stop using a voice if consent is missing or withdrawn.

9. Nature of the service – no medical advice

Ela informs patients based on instructions written and approved by the Clinic, books appointments and routes requests to the Clinic's team. Ela does not diagnose, does not interpret symptoms or medical results and does not replace medical staff. In emergencies, patients must call 112. Ela's operating rules are agreed with the Clinic before activation.

10. Intellectual property

The Platform, the Service, the Ela brand and logo, the NexAi Agency brand, the design, texts and source code belong to NEXAI AGENCY S.R.L. or its licensors. Using the Platform does not transfer any intellectual property right to the User. Information provided by the Clinic remains the Clinic's; the Clinic grants NexAi the right to use it strictly to evaluate the application and, later, to provide the Service.

11. Confidentiality

NexAi treats the information about the Clinic received through the Access application as confidential and uses it only for the purposes described in these Terms and in the Privacy Policy.

12. Personal data

The processing of personal data is described in the Privacy Policy, which forms an integral part of these Terms.

13. Availability

We make reasonable efforts to keep the Platform available and working correctly, but we do not guarantee uninterrupted or error-free operation during the application stage. We may change, update or temporarily suspend the Platform, for example for maintenance. Availability levels of the Ela Service for clients are set by contract.

14. Limitation of liability

To the extent permitted by law, NexAi is not liable for indirect damages (for example, lost profit or lost opportunities) resulting from the use of the Platform during the application stage. Nothing in these Terms limits liability for intentional acts or gross negligence. Liability for the Ela Service is set by the signed contract.

15. Termination

The User can close the account at any time. NexAi may suspend or close an account if the User breaches these Terms, if the information provided is false or if the law requires it.

16. Changes to the terms

We may update these Terms. The current version and the date of the last update always appear at the top of the page. Important changes will be communicated by email or in the app. Using the Platform after the changes take effect means accepting them.

17. Applicable law and disputes

These Terms are governed by Romanian law. Any disagreement will first be settled amicably. If this is not possible, the dispute will be settled by the competent courts at the registered office of NEXAI AGENCY S.R.L.
